Acceptance of Terms
By accessing or using the services provided by Virtara ("we", "us", or "our"), you ("the client" or "you") agree to be bound by these Terms and Conditions.
If you do not agree with any part of these terms, you must not use our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any modifications.
Services Overview
We provide a range of technology services including but not limited to:
- Web and mobile application development
- Cloud infrastructure and DevOps solutions
- Artificial intelligence and machine learning integration
- UI/UX design and digital strategy consulting
- Ongoing support and maintenance services
The specific scope, deliverables, and timelines for each project will be defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.
Project Engagement
All projects begin with a discovery phase to understand your requirements. The following process applies:
- Proposal: We provide a detailed proposal outlining scope, timeline, and cost.
- Agreement: Both parties sign a project agreement before work commences.
- Development: Work progresses in agreed sprints or milestones with regular updates.
- Review: You review and approve deliverables at each milestone.
- Delivery: Final deliverables are handed over upon completion and full payment.
Any changes to the project scope will be managed through a formal change request process, which may affect timelines and costs.
Pricing and Payment
Our pricing structure is outlined in your project proposal. The following terms apply:
- All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless stated otherwise.
- Payment is typically structured in milestones: 25% upfront, 25% at mid-point, and 50% upon completion.
- Invoices are payable within 14 days of issue unless otherwise agreed in writing.
- Late payments may incur interest at 3% above the Bank of England base rate.
- Subscription-based services are billed monthly or annually in advance.
Intellectual Property
Ownership of intellectual property is defined as follows:
- Upon full payment, you receive full ownership of all custom-developed deliverables specifically created for your project.
- We retain ownership of pre-existing tools, frameworks, libraries, and methodologies used in development.
- Third-party components remain subject to their respective licensing terms.
- We reserve the right to use anonymised project data for case studies and marketing purposes, unless you object in writing.
Confidentiality
Both parties agree to maintain the confidentiality of sensitive information shared during the course of the engagement:
- Neither party shall disclose confidential information to third parties without prior written consent.
- Confidential information includes business strategies, technical data, financial information, and trade secrets.
- This obligation survives termination of the agreement for a period of 3 years.
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project in question.
- We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
- We are not responsible for delays or failures caused by circumstances beyond our reasonable control (force majeure events).
Termination
Either party may terminate the agreement under the following conditions:
- For Convenience: Either party may terminate with 30 days' written notice.
- For Cause: Immediate termination is permitted if the other party breaches a material obligation and fails to remedy it within 14 days of notice.
- Effect of Termination: Upon termination, you pay for all work completed up to the termination date. All deliverables completed and paid for will be handed over.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
